 Vendor Responsibilities

Vendors agree to:

 Supply authentic, high-quality products.

 Maintain adequate inventory.

 Provide accurate product specifications and documentation.

 Comply with applicable safety and regulatory requirements.

 Notify Xobo Factors of product recalls or significant product changes.

 Xobo Factors Responsibilities

Xobo Factors agrees to:

 Market products professionally.

 Represent products accurately.

 Process customer orders promptly.

 Maintain brand integrity.

 Communicate customer feedback that may improve products or services.

 Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information exchanged during the partnership.

 Termination

Either party may terminate the relationship in accordance with the terms of any separate written agreement or upon reasonable written notice where no separate agreement exists.
